1. Acceptance of Terms

These Terms apply to all users of the Platform, including employees, contractors, and other individuals authorized by a company that holds a license for our services (the "Company"). By accessing or using the Platform, you agree to be bound by these Terms and any applicable policies.

2. Account Requirements

To access the Platform, you must:

• Be at least 18 years old.
• Use the Platform only as authorized by the Company that grants you access.
• Provide accurate and complete information when creating your user account.

You are responsible for maintaining the security of your account and for all activities that occur under your account. If you suspect unauthorized use, you must notify us immediately.

3. Content Ownership and Usage

Users may upload, create, and share short-form video content ("Video Content") on the Platform. As the creator, you retain ownership of your Video Content. However, by uploading or sharing content on the Platform, you grant Terros a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform for the purpose of operating and improving our services.

You are solely responsible for your Video Content. By uploading or posting content, you agree that it will not violate these Terms or any applicable laws.

4. Prohibited Content and Conduct

While we encourage creativity and freedom of expression, certain types of content and behavior are strictly prohibited on the Platform. You agree not to post, upload, or share content that:

• Promotes or depicts violence, abuse, or threats against any person or group.
• Contains pornography, nudity, or sexually explicit material.
• Engages in harassment, defamation, or hate speech, including but not limited to content that targets individuals based on race, ethnicity, gender, sexual orientation, religion, or disability.
• Promotes illegal activities or the use of illegal substances.
• Includes false, misleading, or deceptive information.
• Involves recruiting for competitors of Terros or of any Company using the Platform.
• Engages in defamatory statements, slander, libel, or personal attacks against any individual, company, or entity, including Terros or its affiliates.
• Violates any intellectual property rights, including copyrights, trademarks, or patents, of others.

We reserve the right to remove or restrict access to any content that violates these guidelines.

5. Use of the Short Form Video Platform

Our Short Form Video Platform allows users to create, share, and engage with content in a community-driven environment. When using the platform, you agree to:

• Abide by the community guidelines and these Terms.
• Respect the intellectual property and privacy rights of others.
• Not use the platform to promote external businesses or recruitment efforts.
• Not upload content that incites hatred, violence, or personal attacks on individuals or entities, including other users or companies.

We reserve the right to moderate, remove, or restrict access to any content that violates our community standards, including but not limited to content that is violent, inappropriate, or offensive.

6. Termination of Access

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, for any violation of these Terms, illegal activities, or if we determine that your use of the Platform poses a risk to others or to the integrity of the Platform.

7. Intellectual Property

While you retain ownership of the content you create, you must not infringe upon the intellectual property rights of others. This includes posting videos or content that uses copyrighted materials without proper authorization.

You grant Terros a perpetual right to use, display, and distribute your Video Content as necessary to operate the Platform.

8. Privacy and Data Usage

By using the Platform, you agree to the collection and use of your data as outlined in our Privacy Policy. This may include information such as usage data, contact details, and content metadata.

9. Disclaimers and Limitation of Liability

The Platform is provided "as is" without any warranties of any kind. We do not guarantee that the Platform will be error-free, secure, or that any content will be free from objectionable material.

In no event shall Terros, its affiliates, officers, or employees be liable for any damages arising from your use of the Platform.

10. Dispute Resolution

Governing Law:

These Terms and any disputes arising from or related to your use of the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Dispute Resolution Process:

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting Support through the Platform. If the dispute cannot be resolved informally within 30 days, you agree to resolve the dispute through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Orange County, California, and the arbitrator's decision shall be final and binding.

Waiver of Class Actions:

You agree that any dispute resolution shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial and to participate in a class action.

11. Amendments to Terms

We may update or change these Terms from time to time. Any changes will be effective upon posting on the Platform, and your continued use of the Platform constitutes acceptance of the updated Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.
